Non-Disclosure Agreement (NDA)

Parties: This Non-Disclosure Agreement ("Agreement") is entered into on , between:
Ysais Digital Marketing, LLC, with its principal place of business at 9226 Jollyville Rd #212, Austin, TX 78759 ("Disclosing Party"), and

Recipient's Name or Company Name:

with its principal place of business at Recipient's Address ("Recipient"):

Purpose: The parties wish to explore a potential business relationship (the "Purpose"), whereby the Disclosing Party may disclose certain confidential information to the Recipient regarding an online SEO course (the "Rank Restore Course").

Definition of Confidential Information: "Confidential Information" shall mean any and all information disclosed by the Disclosing Party to the Recipient, including but not limited to course content, strategies, techniques, methodologies, business plans, financial information, customer lists, and any other proprietary information related to the Course.

Obligations:
1. The Recipient agrees not to disclose, directly or indirectly, any Confidential Information to any third party without the prior written consent of the Disclosing Party.

2. The Recipient agrees to use the Confidential Information solely for the Purpose and not for any other purpose without the prior written consent of the Disclosing Party.

3. The Recipient shall take all reasonable measures to protect the confidentiality of the Confidential Information and to prevent it from falling into the hands of unauthorized persons.

Non-Refundable Clause: Recipient acknowledges and agrees that any fees paid by Recipient to Disclosing Party in connection with the Purpose are non-refundable, regardless of any circumstances, including but not limited to termination of this Agreement or failure to complete the Purpose.

Exclusions: The obligations set forth in this Agreement shall not apply to any information that:

1. Is or becomes publicly available through no fault of the Recipient;

2. Was rightfully in the possession of the Recipient prior to disclosure by the Disclosing Party;

3. Is independently developed by the Recipient without reference to the Confidential Information; or

4. Is rightfully obtained by the Recipient from a third party without restriction as to disclosure.

Term and Termination: This Agreement shall be effective as of the date first written above and shall continue in full force and effect until January 1, 2029 unless terminated earlier by mutual written agreement of the parties. Upon termination of this Agreement, the Recipient shall promptly return or destroy all Confidential Information in its possession.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of laws principles.

Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
